These terms govern access to and use of the Buguardian ecosystem and this website.
This page is a structured template. It has not been reviewed by legal counsel and must be adapted to the operating entity, applicable jurisdiction and the final commercial agreement before publication.
1. Scope
These terms apply to any individual or organisation that accesses this website or uses the Buguardian ecosystem, including the S3M Security access layer, the Buguardian Security Vault, the Active Defense Program and the customer portal (together, the "Service").
2. Acceptance
By creating an account, signing an order form, or otherwise using the Service, you confirm that you have the authority to bind your organisation to these terms and to any commercial agreement referencing them.
3. Description of the Service
The Service provides network access control and managed threat operations, consolidated into a monthly posture score and reporting layer. Specific scope, deployment model (on-premise, SaaS or managed) and service levels are defined in the applicable order form or statement of work.
4. Customer responsibilities
You are responsible for the accuracy of information provided during onboarding, for maintaining the confidentiality of account credentials, for ensuring you have the right to submit any data processed through the Service, and for using the Service in line with applicable law.
5. Fees and credits
Access to paid features is governed by the credit or subscription terms set out in the applicable order form. Unused credits, renewal terms and refund conditions, where offered, are defined there rather than in this general document.
6. Service levels
Where a service level commitment applies to a managed or SaaS deployment, it is set out in a separate service level agreement referenced by the order form. In the absence of such an agreement, the Service is provided on a reasonable-efforts basis.
7. Intellectual property
Buguardian and its licensors retain all rights, title and interest in the Service, including software, documentation, methodology and the Buguardian name and marks. These terms grant a limited right to use the Service; they do not transfer ownership of any underlying intellectual property.
8. Data protection
Personal data processed through the Service is handled in accordance with the Privacy Policy and, where applicable, a separate data processing agreement covering KVKK and GDPR obligations.
9. Limitation of liability
To the maximum extent permitted by applicable law, Buguardian's aggregate liability arising from or relating to the Service is limited as set out in the applicable order form. Neither party is liable for indirect, incidental or consequential damages, except where such limitation is not permitted by law.
10. Suspension and termination
Either party may terminate the Service in accordance with the notice period defined in the applicable order form. Buguardian may suspend access where required to protect the security or integrity of the ecosystem, or in case of a material breach of these terms.
11. Governing law
These terms are governed by the laws of [governing jurisdiction — to be confirmed at contract stage], without regard to conflict-of-law principles. The competent courts of [venue — to be confirmed at contract stage] have exclusive jurisdiction over any dispute not resolved by agreement.
12. Changes to these terms
These terms may be updated from time to time. Material changes affecting an active agreement will be communicated in advance in line with the notice period defined in that agreement.
